Roca Group's commitment
The Roca Group (“Roca”) is keenly aware that water is a unique and limited resource, and has therefore spent over 50 years developing water and energy-saving devices for its products, thereby contributing to more balanced and sustainable co-existence with the environment.
Roca's commitment to the responsible use and consumption of water has taken on a new dimension with the establishment of the ‘We Are Water Foundation India’ trust (“WAWFI”) by Roca Bathroom Products Private Limited (“Roca India” or the “Company”) in June 2016. WAWFI is a new initiative through which Roca India intends to undertake CSR activities centered around responsible water consumption and conservation, and in furtherance of its commitment to the environment, in terms of both its products and its production processes.
By creating this foundation, Roca aims to show its solidarity with those people and communities most affected by water shortage and its consequences.

Environment

The crux of the CSR Policy & CSR Activities
The crux of the CSR policy of Roca India is centred on contribution towards sustainable development of the society. Roca India firmly believes that the core of social development is the existence of a sanitized and clean living environment.
The lack of adequate public conveniences / toilets is a major impediment to the health and well being of the people who live in deplorable conditions. Roca India aims to contribute towards proper sanitation facilities at the towns/ areas where it has manufacturing facilities.
The Company’s CSR activities / programs shall include making sanitaryware and bathroom products available to the sanitation projects undertaken by Company as part of its CSR initiatives in underprivileged rural and urban areas. The Company shall either initiate such projects on its own or participate in the projects implemented by others in the territory.
The Company has identified various organizations / foundations through which to carry out CSR activities including inter alia provisions of low cost sustainable water filtration solutions, formation of ‘Water, Sanitation and Hygiene’ Committees, sensitization and promotion of hygiene behaviour, supply of sanitaryware, construction and renovation of washrooms etc.
The other activities that may be covered under Roca India's CSR Policy in future:

Providing safe drinking water and supply and distribute water resources in regions and communities that are in need, in both rural and urban areas |
b) |
Constructing/ re-constructing washrooms / toilets and any other form of sanitary or water supply infrastructure in underdeveloped communities / areas either under the Swachh Bharat Kosh set up by the Central Government for the promotion of sanitation, or under any other scheme announced by Government of India or any State Government or based on any request |
c) |
Designing and implementing projects and activities to combat water scarcity and pollution, to guarantee access to sanitation and health services and which are respectful to the environment |
d) |
Promoting research, treatment, sanitation, pipelining, handling, processing, distribution, consumption and /or use of water resources |
e) |
Providing support for handling various problems from the lack of drinking water as well as any other project related to water issues, and acts from three different perspectives namely: education, healthcare and the adequacy of infrastructure |
f) | Providing primary health care through medical camps in rural areas |
g) | Promoting the training for rural sports, nationally recognized sports, paralympic sports and Olympic sports |
h) |
Any other activity as included in the CSR Policy and/or as may be decided by the CSR committee according to the social relevance and necessity. |
Allocation of Funds
The allocation of funds shall be made by the Company to the CSR activities / programs approved by the Board of Directors of the Company upon the recommendation of the CSR Committee, on a project-to-project basis, as applicable, and the Company shall be permitted to contribute funds/ donations to various eligible entities operational in the CSR activities proposed to be undertaken by the Company in line with the Companies Act, 2013 and the relevant rules made thereunder.
Implementation of the CSR Activities
The primary responsibility of coordinating the CSR activities will be on the CSR Committee of the Company comprising of certain members of the board of directors of the Company, or as nominated by the board of directors of the Company.
The CSR Committee may delegate the CSR related activities to employees of the Company, under its supervision, as and when required, and on a project-to-project basis and constitute a CSR execution team.
If required, the CSR Committee may require the CSR execution team to liaise with and ensure participation of the local representatives of the communities/ areas in which the CSR activities are proposed to be undertaken and obtain inputs in formulating the specific CSR activities in order to obtain the maximum benefit for the community.
The CSR Committee may also undertake close coordination with Central / State / Local Government / NGOs to strengthen the CSR activities being undertaken. If the CSR Committee is satisfied, it may also donate appropriate funds to any NGO or local body if they are operating in line with CSR activities proposed by the Company and in its CSR Policy.
Monitoring and Review of CSR projects/activities
All CSR activities undertaken by the Company shall be monitored on a quarterly basis by the CSR Committee. The CSR Committee may hold review meetings/ discussions with its CSR execution team and the other participants/ entities undertaking the CSR activities on behalf of the Company.
Feedback may also be obtained from local representatives, as applicable, to ensure that benefits of the CSR activities being undertaken reach the local communities and have the desired impact.
For the specific research, training and educational programs, reviews may be conducted by independent qualified person(s) appointed for the same and corrective action may be taken as and when necessary.
The CSR Committee may also involve and invite participation of the architects / dealers of Roca India in those programs which require such coordination.
Disclosure in the Board of Directors Report and Display on Company’s website.
As required under the provisions of the Companies Act, 2013 and the rules made thereunder, the particulars of the CSR activities of Roca India will be displayed on the website of the Company and will also be disclosed in the Report of the Board of Directors of the Company on an annual basis.
